Like most other major jurisdictions, under Canadian competition law merger control is one of the three main pillars of Canadian competition law (together with conspiracy/cartel and abuse of dominance/monopoly rules). As a result of amendments made to the Competition Act (the “Act”) in 2009, Canada now has a U.S.-style two-stage merger control regime. Together with a number of other recent amendments to the Act, the adoption of a new two-stage merger control system in Canada is one of the most significant changes to Canadian competition law in twenty-five years.

In R. v. Burrows, importers of mandarin oranges were accused of conspiracy under section 32 of the Combines Investigation Act (the predecessor to section 45 of the Competition Act) in relation to the importation and sale of mandarin oranges.

Overview
The Canadian Competition Act (the “Act”) contains both criminal and civil provisions prohibiting a range of anti-competitive activities, many of which can arise in ordinary commercial dealings (e.g., in the context of distributor/customer relations, trade association activities and in relation to many common commercial agreements including IP license agreements, joint venture and strategic alliance agreements and franchise agreements).

In R. v. Electrical Contractors Association of Ontario and Dent, an incorporated association of electrical contractors and its president were charged with conspiring under subparagraph 411(1)(d) of the Criminal Code (which later became section 45 of the Act) to unduly lessen the supply of electrical equipment.

The Competition Bureau announced today that yet more criminal charges have been laid in the ongoing Quebec gasoline price-fixing case against twenty-five individuals and three companies. The accused are alleged to have fixed the price of gasoline at the pump in several regions of Quebec including Victoriaville, Thetford Mines and Sherbrooke.
